1. Parties and Definitions

These Terms of Use ("Terms") cover the natural and legal persons ("User") who use the argist.com website operated by Argist Teknoloji Arge ve Yazılım ("Argist", the "Company") and the cloud-based sales, invoicing, inventory and customer management platform ("Platform", the "Service") offered through app.argist.com.

By registering for or accessing the Platform, you accept these Terms, our Privacy Policy and our KVKK Policy.

2. Scope of the Service

Argist is a SaaS (Software as a Service) platform that includes modules such as sales management, quote management, e-Archive invoicing, inventory management, customer and staff management, cash book, subscription management, online store, and similar features. Argist reserves the right to develop, modify, or remove certain features of the content, scope, and functionality of the Platform, upon prior notice.

3. Account Creation and User Obligations

• The User accepts that the information they provide at registration is accurate, up to date, and complete.
• The User is responsible for the confidentiality of their account credentials (username, password, etc.) and for all transactions carried out through the account.
• If unauthorized use of the account is suspected, this must be reported immediately to [email protected].
• The Platform may only be used for lawful purposes in accordance with applicable legislation; use that infringes the rights of third parties, damages the system, or disrupts the operation of the Service is prohibited.

4. Pricing and Payment

The Platform's paid modules are offered on a subscription basis, under the terms specified on the relevant plan and pricing page. Subscription fees are collected in advance according to the selected payment period (monthly/annual). Argist reserves the right to make changes to its pricing and packages; changes affecting existing subscriptions will be communicated to the User before the relevant renewal period.

5. Intellectual Property

The software, design, logo, trademark, and all content on the Platform belong to Argist or its licensors and are protected under intellectual property legislation. These Terms grant the User the right to use the Platform for the duration of the agreement, and do not transfer any ownership rights over this content. The User continues to own their own data (customer, product, invoice records, etc.).

6. Availability of the Service

Argist aims to keep the Platform running without interruption, with reasonable care and effort; however, interruptions may occur from time to time due to maintenance, updates, issues originating from infrastructure providers, or force majeure events. Planned maintenance work is announced in advance wherever possible.

7. Limitation of Liability

Argist does not guarantee that the services provided through the Platform will be uninterrupted or error-free. Argist cannot be held liable for damages arising from the User's use of the Platform in violation of applicable legislation, from third-party integrations, or from the User's own systems. To the maximum extent permitted by applicable legislation, Argist's liability is limited to the subscription fee paid by the User for the relevant period.

8. Termination

The User may terminate their subscription at any time through their account settings, or by notifying [email protected]. Argist reserves the right to suspend or terminate the User's access to the Platform in the event of a breach of these Terms. The retention and deletion periods for User data following termination are subject to the principles set out in our KVKK Policy.

9. Changes

Argist may update these Terms of Use whenever it deems necessary. The updated text takes effect from the moment it is published on argist.com. Material changes may be communicated to the User by email or through the Platform.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Turkey. The Courts and Enforcement Offices of Istanbul (Central) have jurisdiction over any dispute arising from these Terms.
